This is an Application Form for fully paid ordinary shares (Shares) ABC Commodities Limited (ACN 674 781 983) (Proposed ASX Code: ABC) (ABC Commodities or the Company) made under the terms and conditions set out in the Prospectus issued by the Company dated 23 October 2026 (Prospectus).

Capitalised terms not otherwise defined in this Application Form have the meaning given to them in the Prospectus (or any supplementary or replacement prospectus). The Prospectus contains important information about the Public Offer, and you should read the Prospectus in its entirety before applying for Shares. If you are in doubt as to how to deal with this Application Form, contact your accountant, lawyer, stockbroker or other professional adviser. To meet the requirements of the Corporations Act, this Application Form must not be distributed unless included in, or accompanied by, the Prospectus. You can obtain paper copies of the Prospectus and Application Form on request, and without charge, by contacting the Share Registry.

The Offer opens on the Opening Date (as defined in the Prospectus) and Applications must be received by no later than 5:00pm (AWST) on the Closing Date (as defined in the Prospectus) and it is your responsibility to ensure that this occurs.

How Do I Apply For Shares Under The Offer - Step 1 of 6

Step 1 - Read the Prospectus. The Prospectus contains details of the offering of Shares under the Offer.

The electronic copy of the Prospectus is in Portable Document Format (PDF). You should ensure that any copy of the Prospectus you view or print is complete. To the extent permitted by law, the Company is not liable for any loss incurred from accessing or downloading the Prospectus including, but not limited to, data corruptions during download.

The Prospectus contains information about participating in the Offer. The information contained in the Prospectus does not take into account the investment objectives, financial situation or particular needs of the investor. It is important that you read the Prospectus and (if applicable) any relevant supplementary or replacement Prospectus carefully and in full before deciding whether to invest in the Company.

How to Participate

  • Read the Prospectus

    Due to regulatory requirements, you must acknowledge that you have received and have read the Prospectus in order to participate in the Offer. The Prospectus contains important information about the Company and the Offer. You need to read the Prospectus and (if applicable) any relevant supplementary or replacement Prospectus carefully before you decide to invest. The Prospectus is available online or in hardcopy.


  • Complete the Application

    Once you acknowledge that you have accessed and read the Prospectus and (if applicable) any relevant supplementary or replacement Prospectus, you can apply for Shares online using this online application facility (provided you are eligible and have been invited to do so by the Company).

    The Corporations Act prohibits any person from passing on to another person an application form unless that application form is attached to or accompanies a complete unaltered copy of the Prospectus and (if applicable) any relevant supplementary or replacement Prospectus. A person who gives another person access to an application form must at the same time and by the same means give the other person access to the Prospectus, and (if applicable) any supplementary or replacement Prospectus.


  • Submit the Application

    Once an application has been completed by you, it may be submitted online using this facility and ensuring you pay the relevant Application Monies to the Company.

Note that you can cancel your application at any time during the application process, prior to submission.

Declaration

By submitting this Application Form, I/we declare that I/we:

  • have received a copy of the Prospectus, either in printed or electronic form and have read the Prospectus and (if applicable) any relevant supplementary or replacement Prospectus in full;
  • acknowledge the matters, and make the warranties and representations, contained in the Prospectus and this Application Form;
  • have completed and lodged this Application according to the instructions in the Prospectus, and the declarations/statements on this Application Form;
  • represent and warrant that all details and statements made by me/us (including the declarations on this Application Form) are complete and accurate;
  • provide authorisation to be registered as the holder of Shares which may be issued to me/us and agree to be bound by the constitution of the Company, the Prospectus and the terms of the Shares;
  • have acted in accordance with the terms of the Offer detailed in the Prospectus;
  • represent and warrant that any details and statements made electronically when applying online are complete and accurate;
  • represent and warrant that I/we am/are resident or domiciled in Australia, or, if outside Australia, I/we am/are an Institutional Investor as defined in the Prospectus;
  • have been afforded access to information about the Shares and the Company, including the Prospectus;
  • understand that any purchase of the Shares involves a degree of risk;
  • am/are able to bear the economic risk of any investment in the Shares;
  • agree to provide further information or personal details, including information related to tax-related requirements, and acknowledge that processing of my Application may be delayed, or my Application may be rejected if such required information has not been provided;
  • agree and consent to the Company collecting, holding, using and disclosing my/our personal information;
  • where I/we have provided information about another individual, warrant that I/we have obtained that individual’s consent to the transfer of their information to the Company;
  • acknowledge that if the Company accepts my/our Application Form, I/we may not withdraw it;
  • apply for such number of Shares set out on or determined in accordance with this Application Form and agree to be issued such number of Shares, a lesser number or none;
  • acknowledge that my/our Application may be rejected by the Company in its absolute discretion (and without giving any reason);
  • acknowledge that the information contained in the Prospectus (or any supplementary or replacement Prospectus) is not investment advice or a recommendation that Shares are suitable for me/us, given my/our investment objectives, financial situation or particular needs;
  • authorise the Company and its agents to do anything on my/our behalf necessary (including the completion and execution of documents) to enable the Shares to be allocated;
  • am/are at least 18 years of age; and
  • acknowledge that neither the Company nor any person or entity warrants or guarantees the Company’s performance, the repayment of capital by the Company or any return on investment made pursuant to the Prospectus.
